Terms and Conditions for TECH THINGS LTD

    1. General
      The client expressly waives their own standard terms and conditions, even if they are drawn up after these terms and conditions of TECH THINGS LTD. Any derogations or exceptions must be expressly agreed upon in writing by both parties.
    2. Payment Terms
      Invoices are payable within three (3) days of completion of the service, unless otherwise specified in the invoice or order. In the event of non-payment by the due date, TECH THINGS LTD reserves the right to apply a fixed interest rate of ten percent (10%) on the outstanding amount. TECH THINGS LTD may also suspend all ongoing services without prior notice in the event of delayed payment.
    3. Late Payment & Debt Recovery
      If a payment remains overdue for more than thirty (30) days from the due date, TECH THINGS LTD reserves the right to engage a debt recovery agency. All associated legal costs will be borne by the client.
    4. Taxes & Withholding
      In some jurisdictions, withholding taxes are applied as per the local tax regulations. Any such withholding tax must be paid by the client directly to the relevant tax authorities. TECH THINGS LTD cannot assume responsibility for costs or deductions related to a client's local tax obligations. The full invoice amount remains payable to TECH THINGS LTD, irrespective of such costs.
    5. Service Obligations
      The services provided by TECH THINGS LTD under this contract, whether related to Odoo, Asterisk, or any other solutions, are delivered as per the out-of-the-box features or standard features agreed upon, which does not include customizations unless otherwise specified. Any modifications, enhancements, or custom features requested by the client will be treated as additional services, subject to separate agreements and applicable fees. The client acknowledges that accessing or requesting any customizations beyond the standard features will incur additional charges as mutually agreed upon by both parties.
    6. Claims and Complaints
      Any claims regarding the services provided must be submitted in writing by registered letter to TECH THINGS LTD's registered office within eight (8) days of the delivery of goods or completion of services, for them to be considered admissible.
    7. Governing Law
      These terms and all associated contracts shall be governed exclusively by Ugandan law.
    8. Force Majeure
      TECH THINGS LTD shall not be held liable for delays or failure to perform any obligations under these terms due to events beyond its reasonable control, including but not limited to natural disasters, strikes, governmental actions, or communication disruptions.
    9. Confidentiality
      Both parties agree to treat any information shared during the course of the engagement as confidential. This confidentiality obligation shall survive the termination of the contract.
    10. Termination
      TECH THINGS LTD reserves the right to terminate any ongoing contracts in the event of continuous non-compliance with these terms and conditions. Payment shall be made for assignments already completed, except in cases of breach of this agreement. Such termination shall be effective immediately upon written notice to the client.
    11. Dispute Resolution
      In the event of any dispute arising out of these terms, both parties agree to first attempt an amicable resolution. If an amicable resolution cannot be achieved, disputes will be referred to arbitration in Kampala, in accordance with Ugandan arbitration rules.
    12. Additional Services
      Tasks not included in this schedule or scope of work quoted must be agreed upon before being undertaken and may incur additional costs. Any additional tasks outside the Scope of Work as described will attract additional costs and will require new terms before execution.
    13. Service Delivery Commitments
      TECH THINGS LTD commits to delivering services within the agreed timelines. However, all obligations are on a "best-effort" basis and cannot be interpreted as a guarantee of specific outcomes.
    14. Independent Contractor
      TECH THINGS LTD shall be considered an independent contractor of the client. No formal employment contract is implied or established.
    15. Entire Agreement
      This service delivery agreement represents the entire agreement between the client and TECH THINGS LTD. No other agreements, written or oral, are valid.
    16. Severability
      Should any aspect of this agreement be judged to be illegal or unenforceable, all other aspects of this agreement shall remain in full effect, and any nullified aspects shall be replaced by new terms acceptable to both parties.
    17. Revision Requests
      TECH THINGS LTD undertakes to revise and resubmit the report to clarify or add information on request by the client.
